STATUTES

1. Title of the Association.

1.1. The title of the Association is: Nacionāldemokrāti (National Democrats) (further in text – Association).

1.2. The Association acquires the status of a legal entity from the moment it is entered in the register of associations and foundations.

2. Aims of the Association.

2.1. The aims of the Association are:

2.1.1. Promote the state, national and patriotic self-awareness of society;

2.1.2. Defend the interests of the Latvian state, Latvian nation and statehood;

2.1.3. Support the patriotic upbringing of young people to help them develop as patriotic and national-minded people;

2.1.4. Get involved and organize public events with the aim of drawing public attention to various state and national issues;

2.1.5. Fight against the consequences of occupation and Soviet colonialism, as well as various historical untruths that distort Latvian history and culture.

3. Term of the Association.

3.1. The Association has been established for an indefinite period.

4. Joining, withdrawal and exclusion of members from the Association.

4.1. Any able-bodied natural and legal person can join the association by submitting a written application in a certain form. The application form and the list of documents to be attached to it are determined by the Board of the Association.

4.2.  The decision on admitting a member to the Association is made by the board. The board must consider the applicant's request during the next meeting, but no longer than two weeks after receiving all the necessary documents. The applicant himself must be invited to the board meeting where the applicant's request is considered and he must be given the floor to express his opinion. The absence of the applicant is not an obstacle to the adoption of the decision of the board. The motivated decision of the board must be notified in writing to the applicant within a week from the moment of its adoption.

4.3. The applicant can appeal the negative decision of the board in writing to the general meeting of members. If the general meeting of members also rejects the applicant's request, the applicant is not accepted as a member of the Association, and he can submit a repeated application no sooner than after the expiration of the one-year term.

4.4. A member may withdraw from the Association at any time by notifying the Board in writing.

4.5. A member may be expelled from the Association by a decision of the board if:

4.5.1. the member does not comply with the decisions of the general meeting and the board;

4.5.2. the member does not fulfill his duties and obligations;

4.5.3. the member performs another activity that is contrary to the provisions of these statutes;

4.5.4.     the member has not paid the membership fee for more than 3 months.

4.6. The board examines the issue of expulsion of a member of the Association during the next meeting, inviting the expelled member and giving him the floor to express his opinion. The non-appearance of the expelled member is not an obstacle to the adoption of the decision of the board. The board must notify the decision on the expulsion of a member from the Association and the motivation of this decision in writing to the expelled member within five days from the moment of its adoption.

4.7. In the event that a member withdraws or is expelled from the Association, the membership fee paid by the member will not be refunded to him.

4.8. If the members of the Association withdraw or are excluded from the Association, they do not have the right to claim the property of the Association or its part.

5. In addition to those stipulated by law, members of the Association have the following rights and obligations.

5.1. Associaction members have the following rights:

5.1.1. Participate in the management of the Association;

5.1.2. To receive information about the activities of the Association, including getting acquainted with the protocols, decisions and orders of all institutions of the Association, record-keeping and accounting documents;

5.1.3.  To participate in all the events organized by the Association, to submit proposals regarding the Association's activities and its improvement, to defend one's opinion.

5.2. The duties of the members of the association are:

5.2.1. comply with the Association's statutes and comply with the decisions of the members' meeting and the board;

5.2.2. to support the realization of the Association's goals and tasks with its active cooperation;

5.2.3. pay membership fees regularly.

5.3. The member's rights and obligations come into force at the moment when the board has made a decision on the admission of the member.

5.4. Obligations for a member can be determined by a decision of the meeting of members or the board. When imposing obligations on a member that differ from the obligations of other members, the written consent of that member is required.

6. Structural units of the Association.

6.1. Territorial and other structural units of the Association may be established by the decision of the members' meeting.

6.2. The activity, rights and obligations of the structural unit, as well as relations with the Association, are regulated by the regulations of the structural unit, which are approved by the meeting of the members of the Association.

7. Convening the meeting of members and decision-making.

7.1. The meeting of members is the highest decision-making body of the Association.

7.2. All members of the Association are entitled to participate in the members' meeting. Members can participate in the members' meeting in person.

7.3. The regular meeting of members is convened once a year.

7.4. An extraordinary meeting of members may be convened at the initiative of the board, or if requested by at least one-tenth of the members of the Association, stating the reason for the convening.

7.5. The meeting of members is convened by sending a written invitation to each member no later than two weeks before the meeting.

7.6. The members' meeting is decisive if more than half of the members participate in it. Its decisions are binding on all members and the board.

7.7. If the meeting of members is not decisive due to the lack of a quorum, a repeated meeting of members is convened within five weeks, which is entitled to make decisions regardless of the number of members present, provided that at least two members participate in it.

7.8. The decision of the members' meeting is adopted if more than half of the members present vote for it. The decision on assuming credit obligations, amending the statutes, terminating and continuing the activities of the Association is adopted if more than three quarters of the members present vote for it.

7.9. Each member has one vote at the general meeting.

7.10. The exclusive competence of the members' meeting includes:

7.10.1. amending the statutes of the association;

7.10.2. election and recall of board members;

7.10.3. adoption of a decision on the termination, continuation or reorganization of the Association's activity;

7.10.4. examination of complaints about the work and decisions of the board;

7.10.5. making a decision on the purchase, sale or encumbrance of real estate on behalf of the Association;

7.10.6. making decisions on the right of board members to receive compensation, the amount of compensation, and/or covering the expenses of board members incurred during the performance of duties;

7.10.7. approval of the annual report;

7.10.8. determining the membership fee.

8. Executive body.

8.1. The executive body of the association is the board, which consists of three board members: the chairman of the board and two board members.

8.2. Board members are elected for two years.

8.3. The board has the right to decide all issues that are not within the exclusive competence of the members' meeting.

8.4. Both the chairman of the board and members of the board have the right to represent the association separately.

8.5. The member of the board of the association performs his duties without compensation.

8.6. The Board manages and manages the affairs of the Association. It manages the property of the Association and handles its funds in accordance with laws, statutes and decisions of the members' meeting or other institutions.

9. Auditor.

9.1. The financial and economic activity of the association is controlled by an Auditor, who is elected by the members' meeting for one year.

9.2. The Auditor of the Association cannot be a member of the Board of the Association.

9.3. The Auditor:

9.3.1. conducts an audit of the Society's property and financial assets;

9.3.2. gives a report on the Association's budget and annual report;

9.3.3. evaluates the accounting and record-keeping work of the Association;

9.3.4. provides recommendations on improving the financial and economic activities of the Association.

9.4. The auditor conducts an audit within the terms set by the members' meeting, but not less than once a year.

9.5. The meeting of members approves the annual report of the Association only after receiving the Auditor's opinion.

9.6. Every year, no later than March 31, the Association submits the annual report to the State Revenue Service in accordance with the procedures specified in the regulatory acts.

10. Membership fee.

10.1. Members of the Association pay a membership fee once a year in the amount determined by the General Member meeting.

11. Transfer of profit to the reserve fund and procedures for covering losses

11.1. The excess of the association's income over expenses is credited to the reserve fund, which transfers to the next financial year. Funds from the reserve fund cannot be paid out to members.

11.2. The meeting of members decides on covering losses in accordance with the procedure established by law.
